What It’s About

For this position, we are looking for an Investment Fund Lawyer focusing on investment structures with experience advising SEC registered investment advisers and exempt reporting advisers in connection with general fund structuring matters, including legal drafting, cross-border fund matters, and regulatory and tax considerations. Partners Group’s structuring team is responsible for developing innovative investment structures and funds for institutional and private investors globally. Structuring professionals regularly interact with the firm’s client relationship management, investment and operations teams as well as with clients, external professionals and regulators. Representative projects include, for example, the establishment of investment vehicles (limited partnerships and other investment funds, e.g., Luxembourg structures), design and formation of bespoke investment structures, review of regulatory frameworks (Investment Advisers Act of 1940), Investment Company Act of 1940, ERISA, AIFMD, MiFID, and local regulation of the company’s investors), implementation of new regulations and participation in the marketing meetings.

Responsibilities:

* Efficiently manage complex, global structuring projects from a legal and operational aspect. Strong project management skills are required
* Draft and/or review partial or full agreements, offering memoranda and documentation relating to investment structures for flagship fund offerings and separate accounts, including drafting, maintaining and updating the general structuring form documents for Delaware, Cayman Islands, Luxembourg and Guernsey funds
* Develop a set of skills and general Partners Group know-how, particularly relating to Structuring service areas and relevant interfaces with (operational) teams
* Instruct and manage external legal advisors and other service providers
* Assume responsibility and ownership for select funds, including maintenance and related processes and procedures
* Research legal and regulatory considerations relevant to specific clients, products, and jurisdictions
* Support business development efforts, RFPs and negotiations with clients and their advisors
* Negotiate with internal stakeholders and advisors, including business development efforts
* Ensure compliance with U.S. regulations, be a central point of contact on the team for U.S. regulatory issues and have a watching brief on U.S. regulatory matters

* Top academic credentials in law
* 4-6 years of relevant work experience in fund formation and regulatory matters in private markets, asset management or similar industries, practicing at a top law firm or in-house at an investment manager
* Self-motivated and proactive individual with hands-on mentality and a strong desire to learn and succeed
* Strong ability to own fund formations and complex projects end-to-end, sometimes on ambitious timelines
* Excellent analytical, interpersonal, and project and task management skills required to manage multiple projects concurrently and promptly
* Action-oriented mentality in assuming the responsibility as a first line of defense, adopting second line of defense mindset in developing, monitoring, and implementing control mechanisms
* Ability to communicate and negotiate effectively with both internal and external parties
* Strong interest and/or previous experience in projects with a U.S. regulatory background and nexus
* Excellent English language skills; additional languages (especially German, French and Italian) are a plus
